The directors of the Company proposed that the following special resolutions and ordinary resolution be passed as written resolutions pursuant to Chapter 2, Part 13 of the Companies Act 2006 (ss 288-300).

Special resolutions

"That the Company be wound up voluntarily pursuant to section 84(1)(b) of the Insolvency Act 1986."

"That the Liquidator be and is hereby authorised to distribute among the members in specie or in kind the whole or any part of the assets of the Company, pursuant to section 107 of the Insolvency Act 1986."

"That the Liquidator be and is hereby authorised to pay an advance distribution to the members, or if in specie or in kind, of the assets of the Company, of the entire amount distributable, as soon as practicable."

Ordinary resolution

"That Paul Ronald Brindley of Midlands Business Recovery, Alpha House, Tipton Street, Sedgley, West Midlands, DY3 1HE, United Kingdom be and is hereby appointed liquidator of the Company."

I certify that the above resolutions were duly passed by the members of the Company on 2 April 2026, the required majorities having been obtained in accordance with Chapter 2, Part 13 of the Companies Act 2006.
