AS A SPECIAL RESOLUTION

1 - That the Company be wound up voluntarily.

AS ORDINARY RESOLUTIONS

2 - That Richard Paul Rendle of Rendle & Co be and is hereby appointed Liquidator of the Company.

3 - Rendle & Co should be remunerated in the sum of £6,000 (plus expenses and VAT) in respect of their fees for their work to date and their costs expected to be incurred up to the date of liquidation as authorised by the directors.

4 - That the Liquidator's fees and expenses be charged and paid on the basis set out in the Fees estimate and expenses pack circulated with the papers convening the decision procedures and may be drawn on account. Any time costs in excess of £6,500 will require the approval of the members before being drawn.

5 - of the case, at the standard rates of Rendle & Co (as amended from time to time) at the rates prevailing when the cost is incurred and for any amounts so drawn to be notified to creditors periodically as required.
