The Members of the above-named Company passed the following resolutions, number 1 and 3 as special resolutions and number 2 as a ordinary resolution on 22 January 2026, being the date that the requisite majority of members indicated their approval of the resolutions.

Resolution

1. “That the Company be wound up voluntarily”.

2. “That Lloyd Hinton and Kelly Knight of Insolve Plus Ltd be appointed Joint Liquidators of the Company and that they act either jointly or separately”.

3. “That the Joint Liquidators be authorised to distribute any of the Company’s assets in specie.”
