NOTICE OF DISSOLUTION OF THE

Cercis Partnership

I hereby give you notice, pursuant to the Partnership Act 1890, that the partnership subsisting between us under the name Cercis is dissolved with effect from 19 December 2025.

As there is no formal written partnership agreement between us, this notice is given in accordance with section 32(c) of the Partnership Act 1890, which allows a partnership to be dissolved by notice of any partner where the partnership is at will.

Please take this letter as formal confirmation that the partnership is terminated as of the date stated above. From that date, the partnership shall cease to carry on business, and we shall proceed to wind up its affairs, including:

• Settling outstanding debts and liabilities;

• Distributing any remaining assets between us in accordance with law; and

• Notifying customers, suppliers, and other relevant parties of the dissolution.

I trust we can cooperate to ensure the winding up is conducted fairly and efficiently.
