The following written resolutions were duly passed as special and ordinary resolutions by the members of the company on 30 June 2025:

SPECIAL RESOLUTION

1. THAT the Company be and it is hereby wound up voluntarily under the provisions of the Insolvency Act 1986

ORDINARY RESOLUTIONS

2. THAT Beverley Ellice Budsworth and Gregory Mullarkey of The Debt Advisor, 18-22 Lloyd Street, Manchester, Greater Manchester, M2 5WA be and are hereby appointed Joint Liquidators for the purposes of such winding up and any act required or authorised under any enactment to be done by the liquidator shall be done by any one or more of the persons for the time being holding the office of liquidator.

3. That the Joint Liquidators` remuneration shall be based on a fixed sum of £4,000 plus VAT and disbursements.

4. That the Joint Liquidators be authorised to pay to The Debt Advisor a fee of £4,000 plus VAT and disbursements for assisting the directors to place the company into liquidation, such payment to be made out of the assets of the company and which may be drawn on account as and when funds permit without further recourse to members.

SPECIAL RESOLUTION

5. That the Joint Liquidators be and are hereby authorised to execute a deed of distribution in the form of the draft deed circulated with this resolution and to distribute any surplus arising in the liquidation after settlement of all liquidation expenses creditor claims and statutory interest in the manner set out in such deed.

6. That the Joint liquidators be and are hereby authorised to distribute to the members in specie or in kind the whole or any part of the assets of the Company.

7. That the Joint Liquidators be and are hereby authorised to pay or make an advance distribution to the members, if they consider it appropriate and prudent to do so, in an amount that they shall determine at their sole discretion, or, if in specie or in kind, of such of the assets as they shall determine in their sole discretion, in such proportions as they shall determine.
