Tate & Lyle Ventures II LP, a limited partnership registered in England and Wales with registration number LP015334 (the "Partnership"), hereby gives notice pursuant to section 10 of the Limited Partnerships Act 1907, that on 25 April 2025 (the "Transfer Date"), each of Circadian (Founder Partner) II LP, Simon Andrew Barnes and David John Atkinson transferred their entire respective limited partnership interest in the Partnership to Tate & Lyle Ventures Limited. As at the Transfer Date Circadian (Founder Partner) II LP, Simon Andrew Barnes and David John Atkinson ceased to be limited partners in the Partnership.

The Partnership hereby gives further notice pursuant to section 36 of the Partnership Act 1890 that on the Transfer Date, Circadian (General Partner) II Limited transferred the entirety of its general partnership interest in the Partnership to Tate & Lyle Investments Limited. As at the Transfer Date, Circadian (General Partner) II Limited has ceased to be the general partner of the Partnership and Tate & Lyle Investments Limited has been admitted as general partner of the Partnership.
