I, the undersigned being the sole Member of the Company entitled to receive notice of and to attend and vote at Members’ Meetings, hereby pass the following written resolutions on 17 April 2025 which for all purposes shall be as valid and effective as if the same had been passed at a Members Meeting of the Company duly convened and held were passed as a special resolution and an ordinary resolution:

“That the Company be wound up voluntarily and that Gordon McIntyre and George Lafferty, both of McLaren Insolvency Practitioners Ltd, 250 West George Street, Glasgow, G2 4QY, (IP Nos. 30830 and 9584) be appointed as Joint Liquidators of the Company and that they act jointly and severally.”
