At a General Meeting of the Company held on 13 February 2025, the following resolution was passed as a Special Resolution:

“That the Company be and is hereby wound up voluntarily under the provisions of the Insolvency Act 1986 and Derek Neil Hyslop and Richard Peter Barker, both of Ernst & Young LLP, Atria One, 144 Morrison Street, Edinburgh, EH3 8EX, (IP Nos. 17150 and 9970) be and they are hereby appointed Liquidators (the ‘Liquidators’) of the Company for the purposes of such winding up and distributing the assets of the Company in accordance with the Scheme and any power conferred on them by law, the Articles of Association or this resolution, may be exercised by them jointly or by each of them alone.”
