NOTICE IS HEREBY GIVEN that a general meeting of the Members of the above named Company will be held at Kingsbridge Corporate Solutions, Lowgate House, Lowgate, Hull, East Riding of Yorkshire, HU1 1EL, on 04 March 2025 at 10:00 am for the purposes of considering, and if thought fit passing, the following resolutions, numbers 1 as Special resolutions and 3 as an Extraordinary resolution and 2, 4, 5 and 6 as Ordinary resolutions:

1. “That the Company be wound up voluntarily” and

2. “That Sarah Burge, of Kingsbridge Corporate Solutions Limited, First Floor Lowgate House, Lowgate, Hull, East Riding of Yorkshire, HU1 1EL, GB, be appointed Liquidator of the Company” and

3. “That the Liquidator be authorised to distribute any of the Company’s assets in specie” and

4. “That the costs of Kingsbridge Corporate Solutions Limited in respect of matters up to and including the meeting of members, including assisting in the preparation of the Declaration of Solvency, amounting to £4,500.00 plus expenses and VAT (including category 2 expenses in accordance with the rates disclosed) be paid as an expense of the liquidation” and

5. “That the Liquidator’s fees will be charged as a fixed amount of £9,000.00 plus expenses and VAT” and

6. “That the Liquidator be authorised to recover Category 2 expenses in accordance with their recovery policy disclosed to the members.”

A Member entitled to attend and vote at the above meeting may appoint another person as their proxy to exercise all or any of his rights to attend and to speak and vote at a meeting of the Company. A proxy need not be a Member of the Company. A proxy form is available for use at the meeting, if required.
