Resolutions for Winding-up

By Written Resolutions of members dated 24 October 2024 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution:
1. That it has been proved to the satisfaction of the members that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily.
2. That Leigh Holmes and Susan Purnell of Purnells be and are hereby appointed Join Liquidators of the Company for the purposes of the voluntary winding-up.
The Ordinary Resolution to appoint Leigh Holmes and Susan Purnell as Joint Liquidators of the Company was then rejected by the creditors. The majority of creditors then resolved to appoint Christopher Purkiss of Moore Kingston Smith & Partners LLP, 6th Floor, 9 Appold Street, London EC2A 2AP, as Liquidator for the purposes of the voluntary winding-up.
