I, the undersigned, being the sole Member of the Company, entitled to receive notice of and to attend and vote at Members' meetings, hereby pass the following Written Resolutions passed on 4 September 2024, which for all purposes shall be as valid and effective as if the same had been passed at a Members meeting of the Company duly convened and held as a special resolution and as an ordinary resolution:-

“That the company be wound up voluntarily and that Penny McCoull (IP No. 9544) of McLaren Insolvency Practitioners Ltd, 250 West George Street, Glasgow, G2 4QY be appointed Liquidator of the Company."
