The Company hereby gives notice to all its shareholders that it intends to pass a written resolution (“Written Resolution”) to adopt new articles of association (“New Articles”) which will be in substitution for the existing articles of association.

The New Articles include (without limitation) provisions which permit the Company to undertake a compulsory buyback of any shares that the Company (acting reasonably) considers have been acquired fraudulently or by deception for a nominal £0.01.

In accordance with section 289 of the Companies Act 2006, a copy of the proposed Written Resolution and the text of the New Articles has been sent to the last know address of each of the Company’s shareholders.
