At a General Meeting of the members of the above named Company duly convened and held at Third Floor, Turn berry House, 175 West George Street, Glasgow, G2 2LB on 15 August 2024 at 11.00am, the following resolutions were passed as a Special Resolution and as an Ordinary Resolution respectively:

"That the company be wound up voluntarily and that the Liquidator may, if appropriate, make an in specie distribution of the company assets and that Scott Milne and Ian Wright, Insolvency Practitioners of Quantuma Advisory Limited, 3rd Floor, Turnberry House, 175 West George Street, Glasgow, G2 2LB be and are hereby appointed Joint Liquidators for the purposes of such winding up and to declare that either of the appointees as Joint Liquidators may exercise the powers of liquidators in terms of section 231 of the Insolvency Act 1986".
