At a general meeting of the Member of the above-named company, duly convened, and held at Lecture House Colchester Road, Dedham, CO7 6DS on 16 July 2024 at 11:45am the following Resolutions were passed by the Member numbers 1 and 3 as Special resolutions and number 2 as an Ordinary resolution:

Resolutions:

i. "That the Company be wound up voluntarily" and

ii. "That Lloyd Edward Hinton, of Insolve Plus Ltd be appointed Liquidator of the Company" and

iii. "That the Liquidator be authorised to distribute any of the company's assets in specie."
