“That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the Company, and accordingly that the Company be wound up voluntarily and that Paul Dounis, of RSM UK Restructuring Advisory LLP, Third Floor, 2 Semple Street, Edinburgh, EH3 8BL and Gareth Harris, of RSM UK Restructuring Advisory LLP, Central Square, 29 Wellington Street, Leeds LS1 4DL, (IP Nos. 9708 and 14412) be and are hereby appointed Joint Liquidators for the purposes of such winding up and that the Joint Liquidators are to act jointly and severally.”
