NOTIFICATION OF WRITTEN RESOLUTIONS IS HEREBY GIVEN in accordance with Part 13 of the Companies Act 2006 and in accordance with Sections 84(1)(b) of the Insolvency Act 1986 (as amended) the following resolutions were passed on the Effective Date.

AS SPECIAL RESOLUTIONS
1. That the Company be wound up voluntarily.
2. That the Liquidator be and is hereby authorised to pay or make an advance distribution to the members, if he considers it appropriate and prudent to be so, in an amount that he shall determine at his sole discretion, or, if in specie or in kind, of such of the assets as he shall determine in his sole discretion, in such proportion as he shall determine.
AS ORDINARY RESOLUTIONS
3. That Richard Paul Rendle of Rendle & Co be and is hereby appointed Liquidator of the Company.
4. Rendle & Co should be remunerated in the sum of £2,500 in respect of their fees for their work to date and their costs expected to be incurred up to the date of liquidation as authorised by the directors.
5. That the Liquidator's fees and expenses be charged and paid on the basis set out in the Fees estimate and expenses pack circulated with the papers convening the decision procedures and may be drawn on account. Any time costs in excess of £6,000 will require the approval of the members before being drawn.
6. The Liquidator be authorised to draw ‘Category 2’ expenses periodically on account as an expense of the case, at the standard rates of Rendle & Co (as amended from time to time) at the rates prevailing when the cost is incurred and for any amounts so drawn to be notified to creditors periodically as required.
