CINNAMON CARE HOMES II LIMITED PARTNERSHIP

Notice is hereby given, pursuant to section 10 of the Limited Partnerships Act 1907, that on 9 May 2024:

a) BIN Beteiligungsverwaltungs GmbH a company incorporated in Austria with company number FB 465 866Y (“BIN”), transferred the whole of its capital interest in Cinnamon Care Homes II Limited Partnership (the Partnership), a limited partnership registered in England and Wales with number LP018952, to Gitone Beteiligungsverwaltungs GmbH a company incorporated in Austria with company number FN 353197h (“Gitone”) with effect from 31 December 2023;

a) thereafter, Gitone then transferred part of its capital interest in the Partnership comprising a capital contribution of £322 to Afriba Holding GmbH (formerly named Kilic Holding GmbH), a company incorporated in Austria with company number FN 302790 f (“Afriba”).

As a result of the above transfer, with effect from 31 December 2023, BIN ceased to be a limited partner in the Partnership.
