The Members of the above-named Company passed the following resolutions, resolutions numbers 1 and 3 as Special resolutions and all others as Ordinary resolutions:

Resolutions:

The members voted as follows:-

1. That the Company be wound up voluntarily.

2. That Nigel Price and Matthew Douglas Hardy of Poppleton & Appleby be appointed Joint Liquidators of the Company and that they act either jointly or separately.

3. That the Joint Liquidators be authorised to distribute any of the Company`s assets in specie.

4. That the Joint Liquidators` fees be charged as a fixed fee of £5,500 plus expenses and VAT for dealing with all matters relating to the liquidation.

5. That the Joint Liquidators be authorised to instruct Folkes Worton Chartered Accountants to prepare final accounts for the Company and to finalise the Corporation Tax liability of the Company and to pay Folkes Worton`s reasonable costs for doing so as an expense of the liquidation.
