"That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that James Saunders (IP No. 17550) and Mark Blackman (IP No. 29630) both of Kroll Advisory Ltd, The Chancery, 58 Spring Gardens, Manchester, M2 1EW be appointed Liquidator for the purposes of such voluntary winding up and that they act jointly and severally."
