"That it has been proved to the satisfaction of this meeting that the company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the company, and accordingly that the company be wound up voluntarily and that Christopher Lewis (IP No. 24710) of RSM UK Restructuring Advisory LLP, 10th Floor, 103 Colmore Row, Birmingham B3 3AG and Damian Webb (IP No. 14970) of RSM UK Restructuring Advisory LLP, 25 Farringdon Street, London, EC4A 4AB be and are hereby appointed Joint Liquidators for the purposes of such winding up and that the Joint Liquidators are to act jointly and severally."
