Notice is hereby given pursuant to section 10 of the Limited Partnerships Act 1907, that with effect from and including 1 October 2023 (the "Effective Date"), Partners Group European Growth 2008, L.P. (the "Transferor") transferred all of its interest in ESPRIT CAPITAL I FUND NO.1 LIMITED PARTNERSHIP, a limited partnership registered in England and Wales with number LP006872 (the "Partnership") (the "Transferred Interest"), 97.2485 per cent. to PEV Holdings 1028 LP (to be held by VF IX B Advisors LLC on its behalf as bare nominee) and 2.7515 per cent. to PEV Employee AB LLC (PEV Holdings 1028 LP and PEV Employee AB LLC each a "Transferee" and together the "Transferees") and that with effect from and including the Effective Date, the Transferees each assumed all rights and obligations in respect of the proportion of the Transferred Interest transferred to them and were admitted as limited partners of the Partnership and the Transferor ceased to be a limited partner of the Partnership.
