At a general meeting of the Member of the above-named company, duly convened, and held at Allan House, 10 John Princes Street, London, WIG 0AH on 6 December 2023 at 10:45AM the following Resolutions were passed by the Member numbers 1 and 3 as Special resolutions and number 2 as an Ordinary resolution:

Resolutions:

i. "That the Company be wound up voluntarily" and

ii. "That Anthony Hyams, of Insolve Plus Ltd be appointed Liquidator of the Company" and

iii. "That the Liquidator be authorised to distribute any of the Company's assets in specie."
