At an Extraordinary General Meeting of the members of the above-named company (number 11050005), duly convened and held on 2 November 2023 the following resolutions were duly passed.

i. A special resolution that the company be wound up voluntarily.

ii. An ordinary resolution that Gary Pettit of PBC Business Recovery and Insolvency, 9/10 Scirocco Close, Moulton Park, Northampton NN3 6AP be and is hereby appointed liquidator of the company.

iii. A special resolution that the liquidator be and is hereby authorised to distribute among the members in specie or in kind the whole or any part of the assets of the company and to determine how such divisions shall be carried out as between the members.

iv. An ordinary resolution that the remuneration of the liquidator be fixed at £3,250 plus VAT, which will include the advice pre-liquidation and the work as liquidator. He shall be entitled to draw sums on account of his expenses, plus VAT thereon, as and when they are incurred.

v. An ordinary resolution that the liquidator be authorised to draw "Category 2" expenses out of the assets as an expense of the liquidation.

vi. An ordinary resolution that the liquidator be authorised] to instruct DMO Accountants to prepare final accounts and finalise the corporation tax liability of the company and to pay their reasonable costs for doing so as an expense of the liquidation.
