At a general meeting of the Company, duly convened and held at RG Insolvency, Devonshire House, Manor Way, Borehamwood, Hertfordshire, WD6 1QQ on 31 January 2023 the following Resolutions were passed as a Special Resolution and an Ordinary Resolution respectively:
