Notice is hereby given that the following written resolutions were passed on 29 December 2022, as a special resolutions:

"That the Company, promptly following the Entity Classification Election, be placed into a members’ voluntary liquidation pursuant to the insolvency Act 1986 (the “Voluntary Liquidation”); and that Russell Payne (IP No. 11530) and Ben Woodthorpe (IP No. 18370) both of ReSolve Advisory Limited, 22 York Buildings, London, WC2N 6JU be appointed Joint Liquidators of the Company (the “Joint Liquidators”), on terms to be agreed by the Board, to supervise and implement the Voluntary Liquidation; and that following such appointment the Joint Liquidators may jointly and severally exercise and power conferred on them by law or by the Resolution and may jointly or severally do any act required or authorised under any enactment to be done by either or both of them.”
