UPON the Applicants’ Application dated 24 November 2022 (“the Application”)

AND UPON reading the Witness Statement of the Second Applicant dated 24 November 2022 in support of the Application

AND UPON the Court being satisfied that the Secretary of State for Business, Energy and Industrial Strategy has been served

IT IS ORDERED THAT:-

1. David Lawrence Birne be removed from office as Liquidator in respect of the companies in Creditors’ Voluntary Liquidation set out in schedule A hereto from the date of this order.

2. David Lawrence Birne be removed from office as Liquidator in respect of the company in Compulsory Liquidation set out in schedule B hereto from the date of this order.

3. David Lawrence Birne be removed from office as Liquidator in respect of the companies in Members' Voluntary Liquidation set out in schedule C hereto from the date of this order.

4. David Lawrence Birne be removed as Supervisor in respect of the Individual Voluntary Arrangement set out in schedule D hereto from the date of this order.

5. David Lawrence Birne be removed from office as Trustee in Bankruptcy in respect of the individual in bankruptcy set out in schedule E from the date of this order.

6. Steven John Parker be appointed as joint replacement office holder in respect of each of the cases listed in schedules A, B, C, D and E where there are joint appointments from the date of this order.

7. Steven John Parker be appointed as sole replacement office holder in respect of each of the cases listed in schedules A, B, C, D and E where there are sole appointments from the date of this order.

8. The creditors in each of the cases listed in schedules A, B, D and E, and members of the cases listed in Schedule C, be notified of this order by advertisement in the London Gazette within 21 days of the date of this order.

9. Any creditor in respect of any of the cases listed in schedules A, B, D and E, or in the case of any members' voluntary liquidation set out in Schedule C, any member, who has an objection to this order shall have 21 days from the date of the advertisement in accordance with the preceding paragraph to apply to Court to set aside or vary the terms of the order. Such Application shall not affect the transfer of the cases listed in schedules A, B, C, D and E until further order or other order by the Court.

10. The Applicants shall give notice to the Secretary of State for Business, Energy and Industrial Strategy in respect of the liquidations listed in schedules A, B and C and of the terms of this order as soon as reasonably practicable.

11. David Lawrence Birne shall receive his release as Liquidator, Supervisor and Trustee respectively 28 days after the giving of notice to creditors in accordance with paragraph 8 of this order, save for such release is subject to further order in the event of an application by any creditor under paragraph 9 of this order for the specific case subject to that application.

12. The costs of and occasioned by this application shall be paid by Opus Restructuring LLP.

13. Such further order or other relief or direction as the Court shall deem fit.
