“That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same and, accordingly, that the Company be wound up voluntarily and that Benjamin John Wiles (IP No. 10670) and Geoffrey Wayne Bouchier (IP No. 9535) both of Kroll Advisory Ltd, The Shard, 32 London Bridge Street, London, SE1 9SG be and are hereby appointed Joint Liquidators of the Company for the purposes of tsuch voluntary winding up and that they act jointly and severally.”

Under the deemed consent procedure, decision date being 26 September 2022, the resolutions were ratified by the company's creditors, confirming the appointment of Benjamin John Wiles and Geoffrey Wayne Bouchier as Joint Liquidators.
