At a General Meeting of the Members of the above-named company, duly convened and held on 25 April 2022, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:

That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its current and/or impending liabilities continue its business, and that it is advisable to wind up the same under an insolvent winding up procedure.

That Steve Kenny and Richard Cole of KBL Advisory Limited, Stamford House, Northenden Road, Sale, Cheshire M33 2DH be appointed Joint Liquidator’s for the purposes of the voluntary winding up of the company and that the Joint Liquidators are to act jointly and severally.

The Ordinary Resolution to appoint Steve Kenny and Richard Cole of KBL Advisory Limited was then rejected by creditors. The majority of creditors then resolved to appoint Christopher Purkiss of Moore Kingston Smith & Partners LLP, Devonshire House, 60 Goswell Road, London EC1M 7AD for the purposes of such winding up.
