At a general meeting of the above-named Company duly convened to be held virtually and hosted on Teams as parties are unable to attend the offices of MacNabs LLP, 10 Barossa Place, Perth, PH1 5JX (due to current Corona Virus restrictions) and being a continuation of the Meeting of Members adjourned on 12 January 2022, and the previous meeting adjourned on 29 December 2021, the following Special and Ordinary resolutions were passed:

“That the Company be wound up voluntarily and that Richard Gardiner, of Thomson Cooper, 3 Castle Court, Carnegie Campus, Dunfermline KY11 8PB, (IP No. 9488) be and is hereby appointed Liquidator for the purpose of such winding up.”

It was noted that a Written Resolution had been circularised to the Members in advance of the General Meeting: “That the Liquidator be and is hereby authorised to divide among the members either in specie or kind the whole or any part of the assets of the Company.”
