1. resolution 1: is passed as special resolution (Special Resolution); and

2. resolutions 2 and 3 are passed as an ordinary resolution (Ordinary Resolution).

That it has been proved to the satisfaction of this meeting that the Company cannot by reason of its liabilities continue its business and that it is advisable to wind up the same and accordingly that the Company be wound up voluntarily.

2. That Geoffrey Isaac Jacobs and Blair Carnegie Nimmo of lnterpath Advisory, 319 St Vincent Street, Glasgow G2 5AS, be and are hereby appointed as Joint Liquidators of the Company.

3. That any power conferred on the Joint Liquidators by the Company, or by law, be exercisable by them jointly or by either of them alone.
