At a general meeting of the Company, duly convened and held at the offices of Richard J Smith & Co, Norfolk House, 16 Lemon Street, Truro, Cornwall, TR1 2LS on 5 October 2021, the following Resolutions were passed as a Special Resolution and an Ordinary Resolution respectively:

"That the Company be wound up voluntarily and that Jonathan David Trembath and Hamish Millen Adam of Richard J Smith & Co, 53 Fore Street, Ivybridge, Devon, PL21 9AE, be and is hereby appointed Joint Liquidators of the Company for the purposes of such winding up." It was further resolved that any act required or authorized under any enactment to be done by the Joint Liquidators may be done by all or any one or more of the persons for the time being holding such office.
