NOTICE OF APPOINTMENT OF JOINT LIQUIDATORS OF

LT PRIME SECURED SPC LIMITED ("THE COMPANY")

On 12 May 2021 John Greenwood of BDO Limited was appointed as the Company’s Voluntary Liquidator, in accordance with section 203(3) of the BVI Business Companies Act 2004 (“the Companies Act”).

On 21 May 2021, it was determined, pursuant to section 209(1) of the Companies Act, that the Company was insolvent. Formal notice of this was subsequently given to the Official Receiver, pursuant to section 209(2) of the Companies Act.

Pursuant to section 211(2) of the Companies Act, the Company was therefore deemed to have commenced insolvent liquidation, pursuant to the BVI Insolvency Act 2003 (the “Insolvency Act”), on 12 May 2021.

Pursuant to section 179(1) of the Insolvency Act, a first meeting of creditors was called for the purposes of sections 179(3) and (4) of the Insolvency Act (“the Meeting”) and the Meeting was duly held on 11 June 2021.

NOTICE IS HEREBY GIVEN, that at the Meeting, the Company’s creditors appointed Matthew Richardson and David Bennett of Grant Thornton as Joint Liquidators of the Company, in place of John Greenwood.

For the avoidance of doubt, whilst Messrs. Richardson and Bennett were appointed as Joint Liquidators of the Company on 11 June 2021, as noted earlier in this notice, in accordance with section 211(2)(b) of the Companies Act, the Company was deemed to have entered into insolvent liquidation on 12 May 2021.

The Company’s creditors are required to send their name, address, and particulars of their debts or claims to the Joint Liquidators of the Company at the email address below and, if so required by notice in writing from the Joint Liquidators, to prove their debts or claims at such time as shall be specified in such a notice.
