"That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that Phillip Sykes (IP No. 6119) of RSM Restructuring Advisory LLP, 25 Farringdon Street, London, EC4A 4AB and Matthew Wild (IP No. 009300) of RSM Restructuring Advisory LLP, 3rd Floor, One London Square, Cross Lanes,Guildford GU1 1UN be and hereby appointed Joint Liquidators for the purposes of such voluntary winding up and that the Joint Liquidators are to act jointly and severally."
