Pursuant to Regulation 8 of the European Economic Interest Grouping Regulations 1989/658, the Council Regulation (EEC) No 2137/85 of 25 July 1985 on the European Economic Interest Grouping (EEIG) (Retained EU Legislation) and Clauses 13.4 and 15.2 of the Formation Agreement, the following written resolutions were passed on 7 April 2021
Resolutions
That the Grouping be wound up voluntarily in accordance with Part V of the Insolvency Act 1986, Article 31 of the Council Regulation (EEC) No 2137/85 of 25 July 1985 on the European Economic Interest Grouping (EEIG} (Retained EU Legislation}, and Clause 15.2 of the Formation Agreement dated 29 June 2001;and
That Nicholas James Timpson and Stephen John Absolom of KPMG LLP, 15 Canada Square, London E14 5GL, United Kingdom, be and are hereby appointed as Joint Liquidators of the Grouping and that any act required or authorised under any enactment to be done by the Liquidator is to be done by them jointly or by any one of them
