ORDER

UPON the Application of the Applicant dated 14 October 2019 ("the Application").

AND UPON reading the papers filed herein.

AND UPON the Secretary of State having been duly served with a copy of the Application and supporting documentation.

IT IS ORDERED that:

1. The County Court case listed in Schedule A Part 6 (attached to this order) be transferred to the High Court of Justice, Chancery Division, for the purpose only of making this order, and immediately upon this order taking effect this County Court case be returned to the appropriate County Court. .

2. The Second Applicant Michelle Mills (the "Outgoing Office-holder") be removed from office in respect of each of the cases listed in Parts 1 to 7 of Schedule A (the "Block Transfer Cases") from the date of this order. .

3. The First Applicant, Hasib Reza Howlader (the "Replacement Office-holder") be appointed as sole replacement office-holder in respect of all the cases listed in Parts 1 to 7 of Schedule A save for the case of Chalcroft Limited (in creditors' voluntary liquidation) from the date of this order.

4. The Replacement Office-holder be appointed as joint replacement office-holder with Andrew McTear and Nicholas Barnett in the case of Chalfcroft Limited (in creditors' voluntary liquidation) referred to in Part 3 of Schedule A from the date of this order.

5. The creditors in each of the Block Transfer Cases be notified of this order by advertisement published in the London Gazette within 28 days of the date of this order.

6. Any creditor or in the case of any members' voluntary liquidation, any member in respect of any of the estates listed in Schedule A to this order who has an objection to this Order do have permission to apply to the Court on notice to the Applicants, within 56 days of the advertisement referred to in paragraph 5 of this Order for the purposes of applying to vary or discharge the Order in so far as it affects the estate or estates of which they arc a creditor. Such application shall not affect the transfer of the Block Transfer Cases listed in Schedule A until further order of the Court.

7. The reporting periods for the cases listed in Schedule A shall remain in place and the appointment of the Replacement Office-holder will not affect the date by which the progress reports are to be produced. The Replacement Office-holder will notify creditors or members in respect of his appointment of any matter which he believes the creditor or member should be aware of.

8. The Replacement Office-holder shall notify the Secretary of State and the Registrar of Companies in respect of the liquidations and administrations listed in Parts 1 to 5 of Schedule A of the terms of this order as soon as reasonably practicable.

9. Nothing in this order shall release the Outgoing Office-holder from any obligation to give and file notices in respect of her removal under this order in respect of any of the Block Transfer Cases listed in Schedule A.

10. The Replacement Office-holder shall file a copy of this order with the County Court at Brighton referred to at Part 6 of Schedule A.

11. The Outgoing Office-holder shall receive her release as Administrator, Supervisor, Liquidator and Trustee upon the later of: (i) her filing of notice of her removal with the Registrar of Companies; and (ii) the expiry of the 56 day period referred to in paragraph 6 above provided no application is made to the Court in the meantime which might affect such release.

12. There be no order as to the costs of this Application.

13. The Replacement Office-holder shall have the right to apply to the court to amend this order to include any appointments held by the Outgoing Office-holder which have been inadvertently omitted from this application and/or where there have been any changes to the nature of any of the appointments referred to in Schedule A.
