Notice is hereby given that an order was received by me confirming the completion of a cross-border merger under Directive 2005/56/EC. Details are as follows:

Date of receipt of order: 26 October 2018

Effective date of order: The consequences of the merger will take effect on the later of: (1) the date on which the High Court of Justice of England and Wales sanctions pursuant to section 111 of the Financial Services and Markets Act 2000 the transfer to Assured Guaranty (Europe) Plc of the insurance business of Assured Guaranty (London) Plc and Assured Guaranty (UK) Plc; (2) the date which is 21 days after the date on which this Order is made; and (3) the date on which the French prudential insurance regulator, the "Autorite de Controle Prudentiel et de Resolution”, publishes in the French official journal, "journal officiel de la republique frangaise”, its decision approving the transfer to Assured Guaranty (Europe) Plc of the portfolio of insurance contracts under which CIFG Europe S.A. is the insurer.
