Pursuant to section 10 of the Limited Partnerships Act 1907, notice is hereby given that, effective as of 27 July 2018, Carson Private Capital/Lion Fund IV, LP (the "Transferor") transferred a portion of its interest in Lion Capital Fund IV (USD), L.P., a limited partnership registered in England with registered number LP016474 (the "Partnership") as follows: (i) 8.8% to LCP VIII Holdings, L.P. ("Transferee 1") and (ii) 4.13% to LMMI IV Holdings, L.P. ("Transferee 2").

Accordingly, with effect from 27 July 2018, Transferee 1 and Transferee 2 were admitted as limited partners in the Partnership in respect of the interests transferred, and the Transferor's capital contribution was reduced to USD 700.
