Transfer of Interest in

Notice is hereby given, pursuant to section 10 of the Limited Partnerships Act 1907, that:
(a) Metropolitan Real Estate Partners Europe, L.P., a limited partnership incorporated under the laws of Delaware having its registered office at The Corporation Trust Company, Corporation Trust Center, 1209 Orange Street, Wilmington, DE 19801 has transferred its interest as a limited partner in Colyzeo Investors II, L.P. (the “Partnership”), a limited partnership registered in England and Wales with registration number LP011864, to each of (i) AC VREP Foreign Income Blocker LTD, a Cayman Islands exempted company having its registered office at Intertrust Corporate Services (Cayman) Limited, 190 Elgin Avenue, George Town, Grand Cayman KY1-9005, Cayman Islands, (ii) GT/HO Fund B Real Assets, INC, a Cayman Islands exempted company having its registered office at Intertrust Corporate Services (Cayman) Limited, 190 Elgin Avenue, George Town, Grand Cayman KY1-9005, Cayman Islands, (iii) Vintage Real Estate Foreign Income Blocker, LTD, a Cayman Islands exempted company having its registered office at Intertrust Corporate Services (Cayman) Limited, 190 Elgin Avenue, George Town, Grand Cayman KY1-9005, Cayman Islands and (iv) Vintage Secondary Strategies LLC, a Delaware limited liability company having its registered office at Corporate Service Company, 251 Little Falls Drive, Wilmington, New Castle County, Delaware, USA. Consequently, Metropolitan Real Estate Partners Europe, L.P. has withdrawn as a limited partner in the Partnership and each of AC VREP Foreign Income Blocker LTD, GT/HO Fund B Real Assets, INC, Vintage Real Estate Foreign Income Blocker, LTD and Vintage Secondary Strategies LLC have entered as new limited partners in the Partnership;
(b) MREP Europe TE-Colyzeo-SPV, L.P., a limited partnership incorporated under the laws of Ontario having its principal place of business at 155 Wellington Street West, Toronto, Ontario, Canada M5V 3J7 has transferred its interest as a limited partner in the Partnership to each of (i) AC VREP Foreign Income Blocker LTD, a Cayman Islands exempted company having its registered office at Intertrust Corporate Services (Cayman) Limited, 190 Elgin Avenue, George Town, Grand Cayman KY1-9005, Cayman Islands, (ii) GT/HO Fund B Real Assets, INC, a Cayman Islands exempted company having its registered office at Intertrust Corporate Services (Cayman) Limited, 190 Elgin Avenue, George Town, Grand Cayman KY1-9005, Cayman Islands, (iii) Vintage Real Estate Foreign Income Blocker, LTD, a Cayman Islands exempted company having its registered office at Intertrust Corporate Services (Cayman) Limited, 190 Elgin Avenue, George Town, Grand Cayman KY1-9005, Cayman Islands and (iv) Vintage Secondary Strategies LLC, a Delaware limited liability company having its registered office at Corporate Service Company, 251 Little Falls Drive, Wilmington, New Castle County, Delaware, USA. Consequently, MREP Europe TE-Colyzeo-SPV, L.P. has withdrawn as a limited partner in the Partnership and each of AC VREP Foreign Income Blocker LTD, GT/HO Fund B Real Assets, INC, Vintage Real Estate Foreign Income Blocker, LTD and Vintage Secondary Strategies LLC have entered as new limited partners in the Partnership;
(c) ARIA CO. PTY LTD ACN 123 399 057 as Trustee for the PSS CSS Investments Trust, established and existing under the laws of Australia, having its office address at 7 London Circuit, Canberra, ACT 2601, Australia has transferred its interest as a limited partner in the Partnership to Partners Group Village Access, L.P., a Scottish limited partnership, incorporated in Scotland under number SL32825 having its registered office at 50 Lothian Road, Festival Square, Edinburgh, Scotland EH3 9WJ. Consequently, ARIA CO. PTY LTD ACN 123 399 057 as Trustee for the PSS CSS Investments Trust has withdrawn as a limited partner in the Partnership and Partners Group Village Access, L.P. has entered as a new limited partner in the Partnership;
(d) Franklin International Real Estate Fund 2A and Franklin International Real Estate Fund 2B, each a unit trust established and existing under the laws of Australia, having its office address at Level 19, 101 Collins Street, Melbourne Victoria 3000, Australia has transferred its interest as a limited partner in the Partnership to Partners Group Village Access, L.P., a Scottish limited partnership, incorporated in Scotland under number SL32825 having its registered office at 50 Lothian Road, Festival Square, Edinburgh, Scotland EH3 9WJ. Consequently, Franklin International Real Estate Fund 2A and Franklin International Real Estate Fund 2B has withdrawn as a limited partner in the Partnership and Partners Group Village Access, L.P. has entered as a new limited partner in the Partnership;
(e) Franklin Templeton European Real Estate Fund of Funds, a mutual fund - specialised investment fund, fonds commun de placement - fonds d'investissement spécialisé established and existing under the laws of Luxembourg, having its office address at 8A, rue Albert Borschette, L-1246 Luxembourg, Grand Duchy of Luxembourg has transferred its interest as a limited partner in the Partnership to Partners Group Village Access, L.P., a Scottish limited partnership, incorporated in Scotland under number SL32825 having its registered office at 50 Lothian Road, Festival Square, Edinburgh, Scotland EH3 9WJ. Consequently, Franklin Templeton European Real Estate Fund of Funds has withdrawn as a limited partner in the Partnership and Partners Group Village Access, L.P. has entered as a new limited partner in the Partnership; and
(f) Private Syndicate PTY LTD as Trustee for the Alternative Investment Private Syndicate, established and existing under the laws of Australia, having its office address at Australia Post, 111 Bourke Street, Melbourne 3000, Victoria, Australia has transferred its interest as a limited partner in the Partnership to Partners Group Village Access, L.P., a Scottish limited partnership, incorporated in Scotland under number SL32825 having its registered office at 50 Lothian Road, Festival Square, Edinburgh, Scotland EH3 9WJ. Consequently, Private Syndicate PTY LTD as Trustee for the Alternative Investment Private Syndicate has withdrawn as a limited partner in the Partnership and Partners Group Village Access, L.P. has entered as a new limited partner in the Partnership.
