“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the Company, and accordingly that the Company be wound up voluntarily, and that Duncan Beat (IP No. 8161) of RSM Restructuring Advisory LLP, 75 Springfield Road, Chelmsford, Essex CM2 6JB and Alexander Kinninmonth (IP No. 9019) of RSM Restructuring Advisory LLP, Highfield Court, Tollgate, Chandlers Ford, Eastleigh, SO53 3TY be and are hereby appointed as Joint Liquidators for the purpose of such winding up."
