NOTICE IS HEREBY GIVEN that the Applicants have made an application to the High Court of Justice in England and Wales (the "Court") (the "Application") pursuant to Part VII of the Financial Services and Markets Act 2000 (the "Act") for an order under section 111 and 112 of the Act sanctioning an insurance business transfer scheme (the "Scheme") for the transfer of certain defined contribution pension business carried out by BlackRock Life Limited ("BlackRock") to Scottish Equitable Plc ("SE") (the "Proposed Transfer").
Copies of a report on the terms of the Scheme prepared by an independent expert in accordance with section 109 of the Act (the "Scheme Report") and copies of a statement setting out the terms of the Scheme and containing a summary of the Scheme Report (the "Scheme Summary") may be obtained free of charge (aside from the cost of the telephone call, if calling from overseas) by contacting BlackRock by telephone using 0800 917 6962 or +44 (0) 1733 355 816 between 9am and 5pm (Monday to Friday) or as in writing to BlackRock Life Part VII Response Team, Churchgate, New Road, Peterborough, PE11 1TT or by email to PartVII@blackrock.com from the date of publication of this notice until the date on which the Application will be heard before the Court. Copies of the Scheme Report and the Scheme Summary will also be available on the websites of BlackRock and SE at www.blackrock.com/partvii and www.aegon.co.uk/aegontransfer respectively together with, other documents relating to the Scheme and any further news about the Scheme.
If the Scheme is sanctioned by the Court, it will result in the transfer to SE of all the rights and obligations relating to the insurance policies which are within the scope of the Proposed Transfer and accordingly, unless otherwise provided for in the Scheme, payments in respect of the insurance policies which are within the scope of the Proposed Transfer shall, upon the Proposed Transfer becoming effective, be dealt with by SE.
The Application will be heard before a Judge at the Royal Courts of Justice, 7 Rolls Buildings, Fetter Lane, London EC4A 1NL on 21 June 2018. If approved by the Court, it is currently proposed that the Scheme will take effect at 00:01 on 1 July 2018. Any person, including any policyholder of BlackRock or SE, who feels he or she will be adversely affected by the Proposed Transfer is entitled to appear at the time of the hearing and express his or her views in person or by legal representative.

Any person who intends to appear, and any person who would like to raise any concern, representation or objection in relation to the Scheme but who does not intend to appear, is asked (but is not required) to give notice in writing as soon as possible and preferably 7 days before the final hearing on 21 June 2018 of such intention concern, representation or objection, setting out the grounds of their objection, to the address set out above or by writing to the solicitors named below at the address referred to below.
