At a General Meeting of the members of the above named company duly convened and held at 10.15 am on 6 March 2017 at 7 Gathorne Road, Headington, Oxford OX3 8NP the following resolutions were duly passed:

(a) AS A SPECIAL RESOLUTION: That the Company be wound up voluntarily.

(b) AS AN ORDINARY RESOLUTION: That Sue Stockley of 3 in Partnership Limited, The Old Brushworks, 56 Pickwick Road, Corsham SN13 9BX be and is hereby appointed Liquidator of the Company for the purposes of such winding up.

(c) AS AN ORDINARY RESOLUTION: That the Liquidator be entitled to receive remuneration for her services as such by way of a fixed fee of £1,750.00, plus disbursements and VAT as set out in the engagement letter dated 24 February 2017 and signed by both of the directors on 2 March 2017.

(e) AS AN ORDINARY RESOLUTION: that the Liquidator authorised to recover Category 2 expenses in accordance with the recovery policy disclosed to the members.

(f) AS AN ORDINARY RESOLUTION: That the Liquidator be authorised to instruct Pearce & Co, of First Floor, 39 Gay Street, Bath BA1 2NT to prepare final accounts and tax computations in order to finalise the Corporation Tax liability of the Company and to pay their reasonable costs if any for doing so as an expense of the liquidation.
