Pursuant to Chapter 2 of Part 13 of the Companies Act 2006 on 12 September 2016 the shareholder of the Company passed the following written resolutions as a Special Resolution and as Ordinary resolutions:

“That it has been proved to the satisfaction of this meeting that the Company is insolvent and that it is advisable to wind up the same, and, accordingly, that the Company be wound up voluntarily and that Kenneth R Craig and Kenneth W Pattullo, both of Begbies Traynor (Central) LLP, 3rd Floor, Finlay House, 10-14 West Nile Street, Glasgow G1 2PP, (IP Nos: 008584 and 008368) be and are hereby appointed joint liquidators of the Company for the purpose of such winding up and that any act required or authorised to be done by the joint liquidators may be performed by the joint liquidators for the time that they hold office.”
