NOTICE IS HEREBY GIVEN THAT, on 18 August 2016, in an application by Clydesdale Bank PLC (the “Company”), a public company incorporated under the Companies Act and with its registered office at 30 St Vincent Place, Glasgow, G1 2HL, an order was pronounced by the Court of Session, Edinburgh, (the “Court”) confirming the reduction of the Company’s share capital, which was approved by special resolution passed at general meeting of the Company held on 7 July 2016. A certified copy of that order was registered by the Registrar of Companies in Scotland on 18 August 2016, together with a statement of capital approved by the Court, under section 649(3)(b) of the Companies Act 2006.
