"That it has been proved to the satisfaction of the meeting that the company cannot, by reason of its liabilities, continue its business and that the company be wound up voluntarily and that Richard Lewis and Nigel Morirson, both of Grant Thornton UK LLP, 1020 Eskdale Road, Winnersh, Wokingham, RG41 5TS, (IP Nos. 14690 and 8938) be appointed as Joint Liquidators of the Company for the purposes of the voluntary winding-up."
