At a General Meeting of the members of the above named Company, duly convened and held at The Holiday Inn High Wycombe, Handy Cross, High Wycombe, Buckinghamshire, HP11 1TL on 28 January 2016 the following resolutions were duly passed as a special resolution and as an ordinary resolution respectively:
