At a general meeting of the above named company convened and held at The Office, Milbury Cottage, Beech Farm Road, Warlingham, Surrey CR6 9QJ on 21 December 2015 at 11.00 am, pursuant to chapter 2 of part 13 of the Companies Act 2006, the following written resolutions were passed, Number 1 as a Special Resolution and Number 2 as an Ordinary Resolution respectively:

1. That the company cannot, by reason of its liabilities, continue its business and that the company be wound up voluntarily;

2. That Roger Faulkner (IP No. 9479) of RF Business Recovery, Maxwelton House, 41-43 Boltro Road, Haywards Heath, West Sussex RH16 1BJ (tel: 01444 411106 or email: roger@rfinsolvency.com) be and is hereby appointed Liquidator of the company for the purpose of such winding-up.
