“That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly the Company be wound up voluntarily and that Neil Matthews, of Leather Matthews Restructuring LLP, 17th Floor, Cale Cross House, Pilgrim Street, Newcastle upon Tyne NE1 6SU, (IP No. 6861) be and is hereby appointed Liquidator of the Company for the purpose of the voluntary winding-up.”
