SCOTTISH WIDOWS ANNUITIES LIMITED
NOTICE is hereby given:
(1) that an application was presented on 8 July 2015 to the Court of Session (the “Court”) by Scottish Widows plc (“SW”) and Scottish Widows Annuities Limited (“SWA”), both companies incorporated under the Companies Acts with their registered offices at 69 Morrison Street, Edinburgh EH3 8YF, seeking, inter alia, an order from the Court (a) approving the amendment of the scheme under section 49 of, and Part 1 of Schedule 2C to, the Insurance Companies Act 1982, which was sanctioned by the Court on 28 February 2000, under which the long term insurance business of Scottish Widows’ Fund and Life Assurance Society was transferred to SW and SWA (the “2000 Scheme”), and (b) releasing SW and SWA, on the terms of that application, from their respective obligations under the 2000 Scheme; and
(2) that an application was presented, also on 8 July 2015, to the Court by SW and SWA seeking, inter alia, an order from the Court (a) approving the amendment of the scheme under Part VII of the Financial Services and Markets Act 2000 (“Part VII”), which was sanctioned by the Court on 1 December 2004, under which the long term insurance business of Lloyds TSB Life Assurance Company Limited (now Scottish Widows Administration Services Limited) was transferred to SW and SWA (the “2004 Scheme”), and (b) releasing SW and SWA from their respective obligations under the 2004 Scheme.
The 2000 Scheme and the 2004 Scheme are both proposed to be amended by an insurance business transfer scheme under Part VII, under which the long term insurance businesses of both SW and SWA (among others) are to be transferred to Clerical Medical Investment Group Limited (a member of the same group of companies as SW and SWA and which is to be re-named Scottish Widows Limited) (the “2015 Scheme”).
In relation to each of these applications, the Court made an order dated 9 July 2015 that the application be advertised once in The Edinburgh Gazette and once in each of The Herald and The Daily Telegraph newspapers and that any person claiming an interest in the application, and who considers that it may adversely affect them, should lodge Answers to it, if so advised, at the office of The Court of Session, 2 Parliament Square, Edinburgh EH1 1RQ within 42 days of the last of those advertisements, which is expected to take place on or around 1 September 2015. Answers are a formal Court document which must comply with the Rules of Court and are normally prepared by Scottish counsel. It is at the Court’s discretion to consider written objections which are not in the form of Answers, and to allow interested persons who have not lodged Answers to appear at the Court Hearing, although its practice is to do so.
An application to sanction the 2015 Scheme has been presented to the High Court of Justice, Strand, London WC2A 2LL. That application is expected to be heard on 26 November 2015.
