Pursuant to section 10 of the Limited Partnerships Act 1907, notice is hereby given that, on 19 May 2015 Phoenix Life Assurance Limited (the “Transferor”) assigned a portion of its interest in TDR Capital II ‘C’ L.P., a limited partnership registered in England with number LP11361 (the “Partnership”) to each of Landmark Equity Partners XV, L.P., and NCL Investments, L.P. - PE Series, such portions in aggregate being equal to the whole of the Transferor’s interest in the Partnership, and that, with effect from such date, Landmark Equity Partners XV, L.P., and NCL Investments, L.P. - PE Series each became a limited partner in the Partnership in place of the Transferor.
