At a General Meeting of the members of the above named company duly convened and held at Barclays House, Gatehouse Way, Aylesbury, Buckinghamshire HP19 8DB the following resolutions were duly passed:

SPECIAL RESOLUTIONS

1. “That the company be wound up voluntarily”.

2. “In accordance with the provisions of the company’s Articles of Association, the Liquidator be and is hereby authorised to divide amongst the members in specie all or part of the company’s assets”.

ORDINARY RESOLUTIONS

1. “That David Andrew Butler of Fieldstead Insolvency Limited, Barclays House, Gatehouse Way, Aylesbury, Buckinghamshire HP19 8DB be and he is hereby appointed Liquidator for the purpose of the voluntary winding-up”.

2. “The Liquidator be sanctioned to exercise the powers set out in Schedule 4 Part 1 (Section 165(2)(a)) of the Insolvency Act 1986”.

3. “That the fees and disbursements of Fieldstead Insolvency Limited in relation to the convening of the meeting of members and assistance in preparing the Declaration of Solvency be calculated by reference to the time properly spent by the firms staff and be drawn generally on account out of the assets as an expense of the liquidation”.

4. “That the Liquidator’s fees should be drawn pursuant to Rule 4.148A(2)(b) of the Insolvency Rules 1986, by reference to the time properly spent by the Liquidator and his staff in attending to matters arising in the liquidation and is authorised to draw fees and disbursements (including those as categorised in the Statement of Insolvency Practice 9, Category 2) generally on account at his discretion to be paid out of the assets as an expense of the liquidation”.

David Andrew Butler (IP number 8695) of Fieldstead Insolvency Limited, Barclays House, Gatehouse Way, Aylesbury, Buckinghamshire HP19 8DB was appointed Liquidator of the Company on 11 May 2015.
